1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Tian Energy LLC ("Tian Energy," "we," "us," or "our"), governing your access to and use of our websites, applications, platforms, products, and services, including but not limited to:

eroof.top — eRoof solar equipment sourcing, panel matching, and roof design platform
owys.fun — Owy's Fun Bike children's exertainment system (hardware and software)
humdo.top — Humdo multi-tenant business operations platform

(collectively, the "Services").

By accessing or using any of our Services, creating an account, or clicking "I Agree" or similar acceptance mechanism, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not access or use our Services.

If you are using our Services on behalf of a company, organization, or other entity, you represent and warrant that you are authorized to bind that entity to these Terms, and "you" and "your" will refer to that entity.

2. Description of Services

2.1 Solar Design and Consultancy (eRoof Platform)

Tian Energy provides automated solar roof design, panel matching, equipment procurement, and consultancy services, including:

3D roof modeling using GIS data (satellite imagery, LiDAR, building footprints).
AI-powered panel matching with real-time North American inventory visibility.
Bill of materials (BOM) generation for solar installations.
Equipment obsolescence advisory and procurement alternatives analysis.
Architectural re-validation coordination (UL 2703 structural review).

2.2 Owy's Fun Bike System (Authorized Distribution)

Tian Energy is the authorized U.S. distributor for the Owy's Fun Bike children's exertainment system, providing:

Sales and delivery of Owy's Fun Bike hardware equipment.
Software licensing for the Owy's Fun gaming and education platform.
Venue onboarding, technical support, and maintenance services.
Content delivery for gamified cycling and STEM education programs.

2.3 Humdo Platform (Authorized Distribution)

Tian Energy is the authorized U.S. distributor for the Humdo multi-tenant SaaS platform, providing:

SaaS subscription management and billing.
Platform onboarding and configuration for U.S. businesses.
Customer support, training, and technical assistance.
Access to Humdo's 80+ integrated business modules.

3. Account Registration

3.1 Account Creation

Certain Services require you to create an account. You agree to:

Provide accurate, current, and complete information during registration.
Maintain and promptly update your account information.
Maintain the security and confidentiality of your login credentials.
Immediately notify us of any unauthorized use of your account.

3.2 Account Responsibility

You are responsible for all activities that occur under your account, whether or not you have authorized such activities. We are not liable for any loss or damage arising from your failure to maintain the security of your account credentials.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without cause and with or without notice, if we reasonably believe that you have violated these Terms or that your continued access poses a risk to our Services, our users, or third parties.

4. Fees and Payment

4.1 Pricing

Fees for our Services are as specified on our websites, in order forms, or in separate written agreements. All fees are quoted in U.S. dollars unless otherwise stated. We reserve the right to modify pricing at any time, with reasonable notice for existing subscriptions.

4.2 Payment Terms

Payment is due upon receipt of invoice unless otherwise agreed in writing.
SaaS subscriptions (Humdo) are billed on a recurring basis (monthly or annually) as selected at the time of purchase.
Solar consultancy and design services are billed per project or as specified in the applicable statement of work.
Hardware purchases (Owy's Fun Bikes) require full payment prior to shipment unless credit terms have been established.

4.3 Payment Processing

All payments are processed through PCI-DSS compliant third-party payment processors (e.g., Stripe). By providing payment information, you authorize us to charge the applicable fees. We do not store complete credit card numbers on our servers.

4.4 Late Payment

Overdue invoices may accrue interest at the rate of 1.5% per month (or the maximum rate permitted by law, whichever is lower). We reserve the right to suspend Services for accounts with overdue balances exceeding 30 days.

4.5 Refunds

SaaS Subscriptions: No refunds for partial subscription periods. You may cancel your subscription at any time; access will continue until the end of the current billing period.
Solar Design Services: Refunds are available only if a design has not yet been initiated. Once GIS data acquisition has begun, the service fee is non-refundable.
Hardware Purchases: Hardware returns are subject to our Return Policy. Restocking fees of up to 15% may apply for non-defective returns. Custom or special-order items are non-refundable.

5. Intellectual Property

5.1 Our Intellectual Property

All content, software, technology, designs, branding, trademarks, trade names, logos, and other intellectual property associated with our Services ("Tian Energy IP") are owned by or licensed to Tian Energy LLC and/or Xito Technologies (9420882 Canada Inc.). Nothing in these Terms grants you any right, title, or interest in Tian Energy IP except for the limited license to use our Services as described herein.

5.2 License to Use Services

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your internal business purposes.

5.3 User Content

You retain ownership of content you create or upload to our platforms ("User Content"). By uploading User Content, you grant Tian Energy a non-exclusive, worldwide, royalty-free license to use, store, process, display, and transmit your User Content solely as necessary to provide the Services.

5.4 Solar Design Deliverables

Upon full payment, you receive a non-exclusive license to use solar roof design deliverables (3D models, BOM documents, layout drawings) for the specific project for which they were created. Deliverables may not be resold, redistributed, or used for purposes other than the designated project without prior written consent.

5.5 Feedback

Any feedback, suggestions, or ideas you provide regarding our Services may be used by us without restriction or obligation to you.

6. Acceptable Use

6.1 Permitted Use

You may use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

Use the Services in any manner that violates applicable federal, state, local, or international law or regulation.
Use the Services to transmit or distribute malware, viruses, or any other harmful code.
Attempt to gain unauthorized access to any part of the Services, other users' accounts, or any systems or networks connected to the Services.
Use the Services to send unsolicited commercial messages (spam).
Reverse engineer, decompile, disassemble, or attempt to derive the source code of any software that is part of the Services.
Use the Services to infringe the intellectual property rights of any third party.
Scrape, crawl, or otherwise extract data from the Services by automated means without prior written consent.
Interfere with or disrupt the Services or servers or networks connected to the Services.
Resell, sublicense, or otherwise provide access to the Services to third parties without authorization.

6.2 Multi-Tenant Environment

The Humdo platform and certain other Services operate in a multi-tenant environment. You agree not to attempt to access, modify, or interfere with data belonging to other tenants. Each tenant's data is logically isolated; any attempt to circumvent this isolation is a material breach of these Terms.

7. Solar Consultancy — Specific Terms

7.1 Design Accuracy

Solar roof designs are generated using third-party GIS data (satellite imagery, LiDAR point clouds, municipal records). While we strive for maximum accuracy, design outputs are estimates based on available data and are provided for planning purposes. Final installation designs must be validated by a licensed professional engineer and comply with all applicable local building codes, electrical codes, and permitting requirements.

7.2 Equipment Recommendations

Equipment recommendations (panels, inverters, racking) are based on availability and specifications at the time of design. Tian Energy does not guarantee the continued availability, pricing, or specifications of any recommended equipment. Market conditions, manufacturer decisions, and supply chain factors may necessitate changes.

7.3 Compliance Advisory

Our consultancy services include guidance on compliance matters (UL, NEC, UFLPA, building codes). This guidance is provided as advisory information only and does not constitute legal, engineering, or regulatory advice. You are solely responsible for ensuring that your installation complies with all applicable laws, regulations, codes, and standards.

7.4 Architectural Re-Validation

When we coordinate architectural re-validation with third-party architecture firms, we act as a facilitator. The architecture firm's professional opinions, certifications, and stamped drawings are their independent professional work product. Tian Energy is not responsible for the accuracy or completeness of third-party professional services.

8. Hardware — Specific Terms

8.1 Owy's Fun Bike Equipment

Hardware products are delivered FOB shipping point. Title and risk of loss transfer to you upon delivery to the carrier. You are responsible for inspecting equipment upon receipt and reporting any damage or defects within 7 business days.

8.2 Warranty

Owy's Fun Bike hardware is covered by a manufacturer's limited warranty as specified in the product documentation. Warranty does not cover damage resulting from misuse, unauthorized modification, improper installation, or normal wear and tear.

8.3 Installation

You are responsible for the proper installation of hardware equipment in accordance with provided documentation and all applicable electrical and safety codes. Tian Energy may provide installation guidance but does not perform physical installation unless separately agreed in writing.

9. SaaS — Specific Terms

9.1 Service Level

We will use commercially reasonable efforts to maintain the availability of our SaaS Services. We do not guarantee uninterrupted or error-free operation. Scheduled maintenance will be communicated in advance where practicable.

9.2 Data Ownership

You retain all rights to your data stored on the Humdo platform. Upon termination of your subscription, you may request an export of your data in a standard machine-readable format within 30 days. After this period, we may delete your data in accordance with our data retention policies.

9.3 API Usage

If you access our Services via API, you agree to comply with any published API documentation, rate limits, and usage policies. We reserve the right to throttle or suspend API access that adversely affects the performance or stability of our Services.

10. SMS/Text Messaging Terms

By providing your phone number and opting in, you consent to receive SMS/MMS messages from Tian Energy related to your account, projects, service notifications, and other transactional communications. Consent is not a condition of purchase.

10.2 Opt-Out

You may opt out at any time by replying STOP to any message. You will receive a single confirmation message. Opting out will not affect your ability to use our Services through other channels.

10.4 Message Frequency and Costs

Message frequency varies. Message and data rates may apply. Tian Energy is not responsible for charges imposed by your mobile carrier.

11. Disclaimers

11.1 "AS IS" Basis

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

11.2 No Professional Advice

Information provided through our Services, including solar design outputs, equipment recommendations, and compliance guidance, is for informational and planning purposes only and does not constitute professional engineering, legal, financial, or regulatory advice. You should consult qualified professionals for decisions affecting safety, structural integrity, and regulatory compliance.

11.3 Third-Party Content

Our Services may contain links to third-party websites, services, or content. We do not control and are not responsible for third-party content, privacy practices, or terms of service.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

TIAN ENERGY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS PAID BY YOU TO TIAN ENERGY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
IN NO EVENT SHALL TIAN ENERGY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF TIAN ENERGY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE FOREGOING LIMITATIONS APPLY REGARDLESS OF WHETHER THE DAMAGES ARISE FROM USE OR MISUSE OF THE SERVICES, INABILITY TO USE THE SERVICES, OR ANY INTERRUPTION, SUSPENSION, OR TERMINATION OF THE SERVICES.

13. Indemnification

You agree to indemnify, defend, and hold harmless Tian Energy LLC, its parent company (Xito Technologies / 9420882 Canada Inc.), affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

Your use of the Services.
Your violation of these Terms.
Your violation of any third-party rights, including intellectual property rights.
Any User Content you submit, post, or transmit through the Services.
Your solar installation project, including any personal injury, property damage, or regulatory non-compliance.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

14.2 Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English, and the seat of arbitration shall be in the State of Delaware. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

14.3 Class Action Waiver

YOU AND TIAN ENERGY AGREE THAT ANY CLAIMS SHALL BE BROUGHT IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

14.4 Small Claims Exception

Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable order forms or statements of work, constitute the entire agreement between you and Tian Energy with respect to the Services and supersede all prior or contemporaneous communications, whether electronic, oral, or written.

15.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

15.3 Waiver

The failure of Tian Energy to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. Tian Energy may assign these Terms without restriction.

15.5 Force Majeure

Tian Energy shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, supply chain disruptions, carrier failures, or internet outages.

15.6 Notices

Notices to Tian Energy should be sent to joyxuyichao@gmail.com. Notices to you will be sent to the email address associated with your account. Notices are deemed received upon delivery for email communications.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated by posting the updated Terms on our website with a revised "Last Updated" date and, where appropriate, by email notification. Your continued use of the Services after any changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Services.
